Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vialode's platform, APIs, dashboard, and related services ("Service") operated by Vialode ("we", "us", "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Customer" means the organization or individual that registers for the Service.
- "Customer Data" means all data, documents, and files uploaded to or processed through the Service by or on behalf of the Customer.
- "Extracted Data" means the structured output produced by the Service from processing Customer Data.
- "User" means any individual authorized by the Customer to access the Service.
2. Acceptance and Authority
If you are using the Service on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms. The term "you" refers to both you individually and the entity you represent.
3. Description of Service
Vialode provides an API-based platform for: (a) processing and extracting data from trade documents; (b) trade compliance data lookups; (c) supplier risk monitoring; and (d) supply chain emissions calculations. The Service uses artificial intelligence and machine learning technologies, including third-party AI providers, to process documents and generate outputs.
4. Account Registration
You must provide accurate, current, and complete information during registration. You are responsible for: (a) maintaining the confidentiality of your API keys, passwords, and account credentials; (b) all activity that occurs under your account; (c) notifying us immediately of any unauthorized use at [email protected].
5. Acceptable Use
You may not: (a) use the Service for any unlawful purpose or in violation of any applicable law or regulation; (b) upload documents containing malware or malicious code; (c) attempt to gain unauthorized access to other accounts, systems, or networks; (d) interfere with or disrupt the Service's operation or security; (e) reverse engineer, decompile, or disassemble any part of the Service; (f) resell, sublicense, or redistribute access to the Service or API without prior written permission; (g) use the Service to process documents for which you do not have lawful authority to process; (h) use automated means to exceed your plan's usage limits.
6. AI Processing and Accuracy Disclaimer
The Service uses artificial intelligence to extract data from documents and generate outputs. AI-generated outputs may contain errors, omissions, or inaccuracies. You acknowledge and agree that:
- Extracted Data is provided for informational purposes and is not a substitute for professional verification.
- You are solely responsible for reviewing, verifying, and validating all Extracted Data before relying on it for any purpose, including but not limited to customs declarations, tariff classifications, trade compliance decisions, financial reporting, or regulatory filings.
- Vialode does not guarantee the accuracy, completeness, or timeliness of any Extracted Data, tariff rates, compliance information, risk scores, or emissions calculations.
- We use third-party AI service providers to process document content. While we do not share your account information with these providers, document content is transmitted for processing purposes.
- Accuracy rates referenced in marketing materials are based on internal testing and benchmarks and are not contractual performance guarantees.
7. No Professional Advice
The Service does not constitute legal, tax, customs, trade compliance, financial, or environmental advice. Tariff lookups, compliance checks, risk scores, landed cost calculations, and emissions calculations are provided as informational tools only. You should consult qualified professionals before making decisions based on information provided by the Service.
8. Customer Data and Privacy
Your use of the Service is also governed by our Privacy Policy.
- Ownership: You retain all ownership rights in your Customer Data. We do not claim ownership of any Customer Data.
- License: You grant us a limited, non-exclusive license to process, store, and transmit your Customer Data solely to provide the Service.
- Third-party data: If your Customer Data contains personal data of third parties (such as names and addresses of shippers, consignees, or other parties appearing in trade documents), you represent and warrant that you have the lawful authority to process and share such data with us, and that doing so complies with all applicable data protection laws.
- No training without consent: We will not use your Customer Data to train AI models without your explicit, prior written consent.
9. Payment Terms
- Paid plans are billed monthly in advance via the payment method on file.
- Overage charges (usage exceeding your plan limits) are calculated and billed at the end of each billing period at the overage rate specified for your plan.
- All fees are stated in United States Dollars (USD) unless otherwise agreed.
- All fees are exclusive of applicable taxes. You are responsible for any sales tax, GST, VAT, or similar taxes imposed on the Service in your jurisdiction.
- Failure to pay within 30 days of invoice may result in suspension or termination of your account.
- You may upgrade your plan at any time, effective immediately. Downgrades take effect at the start of the next billing period.
- We do not provide refunds for partial billing periods, except as required by applicable law.
10. Intellectual Property
- The Service, including its software, algorithms, models, APIs, documentation, and design, is owned by Vialode and protected by intellectual property laws.
- Nothing in these Terms transfers any intellectual property rights to you, except the limited license to use the Service as described.
- You may not use Vialode's name, logos, or trademarks without prior written consent.
- Aggregated and anonymized data derived from platform usage (which does not identify you or your customers) may be used by Vialode to improve the Service and for statistical purposes.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable during scheduled maintenance, infrastructure upgrades, or events beyond our control. We will make reasonable efforts to provide advance notice of scheduled downtime.
12. Suspension and Termination
- By you: You may terminate your account at any time by contacting us. Termination does not relieve you of payment obligations for the current billing period.
- By us: We may suspend or terminate your access if: (a) you breach these Terms; (b) your payment is overdue by more than 30 days; (c) we are required to do so by law or regulation; (d) your use of the Service poses a security risk or threatens the Service for other customers.
- Post-termination: Upon termination, your right to access the Service ceases. We will retain your Customer Data for 30 days after termination to allow for export. After 30 days, Customer Data will be permanently deleted.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
- Vialode's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total amount you paid to Vialode in the twelve (12) months immediately preceding the event giving rise to the claim.
- In no event shall Vialode be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, revenue, data, or business opportunity; costs of procurement of substitute services; damages arising from incorrect data extraction, tariff calculations, compliance information, risk scores, or emissions calculations; or damages arising from decisions made based on Service outputs.
14. Indemnification
You agree to indemnify, defend, and hold harmless Vialode, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; (d) any decision or action taken based on data or outputs provided by the Service; (e) Customer Data that you upload or process through the Service.
15. Export Controls and Sanctions
You represent and warrant that: (a) you are not located in a country subject to comprehensive trade sanctions; (b) you are not on any government restricted party list; (c) you will not use the Service in violation of any applicable export control laws, trade sanctions, or anti-money laundering regulations. We reserve the right to restrict access from any jurisdiction at our sole discretion.
16. Force Majeure
Vialode shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond our reasonable control, including but not limited to: natural disasters, epidemics, war, terrorism, government actions, labor disputes, power failures, internet disruptions, cloud infrastructure outages, or changes in third-party API provider terms or availability.
17. Modifications to Terms
We may modify these Terms by posting updated terms on our website. Material changes will be communicated via email or in-product notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
18. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be referred to and finally resolved by arbitration administered by the Asian International Arbitration Centre ("AIAC") in accordance with the AIAC Arbitration Rules in force at the time. The seat of arbitration shall be Kuala Lumpur, Malaysia. The language of the arbitration shall be English.
19. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with the Privacy Policy and any applicable order forms or service agreements, constitute the entire agreement between you and Vialode regarding the Service and supersede all prior agreements and understandings.
